董事长、总裁、总经理的关系 首席执行官(CEO): 公司董事会的代理人.执行董事会授予的部分经营管理权利.是公司政策执行机构的最高负责人.通常由董事长兼任. 总裁:仅次于CEO的公司第二号行政负责人.是行政负责人,所以总是裁人.一般由CEO兼任. 总经理、首席营业官(COO): CEO的助手,公司的第三号人物.负责公司的日常营业.不是行政,所以他不裁人. 董事长:公司董事会主席,直接领导公司里的董事会,以及附设的执行委员会、任免委员会、薪酬委员会、审计委员会等一些专门委员会.是公司的老大. 总经理和总裁们纷纷改称CEO，这个缩写词比它的中译版首席执行官更简洁，在中国人心目中更有神圣感，于是便出现了今天CEO满天飞的局面。刚刚从大学毕业的年轻人骄傲的在名片上印着自己是某家新公司的CEO，海尔这样年营业额上百亿的大企业总裁也要求别人称他CEO，但大部分人并不知道这个英文缩写词的实质内涵。董事长，总裁，CEO，这三个公司领导者的称谓不仅仅是文字游戏，它包涵了企业管理制度的基础，与其说是权力的基础，还不如说是义务的基础。如果权力变成了一种享受，甚至连权力拥有者的称谓都变成了一种享受，那真是糟糕透顶。 董事长的英文是Chairman(准确的说是ChairmanoftheBoard)，总裁是President，首席执行官是ChiefExecutiveOfficer，这是众人皆知的。但媒体并没有意识到这三个称谓的微妙差异，经常把President译成董事长或首席执行官，CEO有时候又被译成总裁，情况十分混乱。Chairman这个职务可能是现代公司管理层最早确定的职务之一，因为它是股东利益的最高代表，理论上讲是公司管理层所有权力的来源President和CEO都由Chairman任命，董事会只能由Chairman召集，非例行的股东大会一般也只能由Chairman召集（或者由股东联名呼吁召集，这要看公司章程）。既然President和CEO都是由Chairman任命的，理论上讲Chairman也可以随时解除他们的职务；不仅如此，Chairman可以随时解除任何人的职务，除了董事（MemberoftheBoard）和监事（MemberoftheBoardofSupervisors），因为董事和监事不是公司雇员，而是公司的主人和仲裁人。因此我们常常看到一位弄砸了许多事情的CEO被罢免，却依然保留董事职务；即使他没有多少股份，仁慈的股东往往也会允许他在董事会继续呆下去。 怎样设置企业的高层管理人员职位，以及如何界定他们的职责权限，是一个在实际上和法律上都还没有公认标准的问题。从公司治理结构比较完善的美国的情况来看，也并没有一个公认的联邦标准。美国绝大多数州规定上市企业至少要有三名行政官员：总裁（President），董事会秘书（Secretary）和财务主管（Treasure）。除此之外，企业的董事会可以根据公司章程（Bylaw）任命任何数量的其他行政官员,包括CEO，COO职位，但并非法定必设。 换言之，企业的行政长官的职权划分并没有一个统一的标准，而是因企业不同而不同。两位同样具有CEO头衔的行政长官的实际权力可能相去甚远。这是因为企业的法定权力机构是董事会，而董事长的实际权力在不同企业之间相差很大。从美国实际来看，CEO，董事长在什么情况之下可以或不可以代表企业，有很大差异。1973年美国AmericanExpressvs.Lopez案例中，法院判决意见指出董事长一职在其演化过程中在不同企业出现了不同的走向。在有的企业，董事长一职由首席执行官兼任，他可能把日常事务都交付给了一位年轻的经理，但仍然执掌大权；在其它企业，董事长由资深、退休的首席执行官担任，但实际只起咨询参谋作用。在另外一些企业，董事长和首席执行官则成为权力大体平等的双首脑制度。还有的企业则设CEO办公室，由几个高级行政长官共同执行企业权力。 因此，美国法律中对企业行政首脑（不管头衔是总裁，还是首席执行官或其它职称）的明显权力（Apparentauthority）和实际权力（ActualAuthority）有很详细的讨论。一般来说，在处理企业的一般业务时，企业首长被认为可以代表企业做出有法律约束力的决定；而对于特别业务（ExtraordinaryBusiness），如出售企业的重大资产，收购兼并其它企业，重大捐赠，或为其它企业担保债务等等，则不能代表企业，而需由董事会决议。 因此，从实践来看，是否需要同时设CEO，总裁，COO，要根据企业的规模、业务种类、总裁更替计划的需要来定。美国企业的通常实践是CEO作为一把手，而把总裁和COO作为培养一把手接班人的过渡性岗位。但是并不是所有的企业都必须同时设这三个岗位。

仲裁，即“中人裁决”，是由国家司法机关以外的第三人来进行评理裁断，也即双方当事人自愿把纠纷提交给第三者审理，由其作出判决或裁决。该第三者或为双方选定的仲裁人（也称“公断人”），或为仲裁机构。
