The said L/C shall be strictly in accordance with the contract, or the charges of amending the L/C shall be borne by the Buyer, and the Seller shall not be responsible for the delay in shipment as a result of the amendment of the L/C.9. FORCE MAJEUREThe Seller shall not hold liable for non-delivery or delay in delivery of the entire lot or a portion of the goods hereunder by reason of natural disasters, war or other causes of Force Majeure. However, the Seller shall notify the Buyer as soon as possible by cable or fax and furnish the Buyer by registered airmail with a certificate issued by the China Council for the Promotion of International Trade attesting such event(s) if required.12. CLAIMSShould the Buyer be unable to lade the whole set or part of goods in the time limit of the contract, unless for the Force Majeure or obtaining the Buyer’s agreement to amend the contract, the Buyer is entitled to repeal the part of the contract which is not carried out in 30 days after the time limit of the contract. In case of any discrepancy in quality/quantity, claim should be filed by the Buyer within 15/30 days after the arrival of the goods at port of destination, according to the inspection report issued by notarized institution that the Seller is agreed, the Seller would consider adjustment grant or refusal according to the practical situation, and the Seller shall not be responsible for the whole losses due to a case of nature or within the obligation extension of insurance agent. The Buyer shall have the covering letter of credit reach the Seller within the time according to the contract, failing which the Seller reserves the right to rescind without further notice, or to regard as still valid whole or any part of this contract not fulfilled by the Buyer, or to lodge a claim for losses thus sustained, if any.13. ARBITRATIONAll disputes arising out of the performance of, or relating to this contract, shall be settled through negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its arbitral rules. The arbitral award is final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.14. This Contract is made in two originals, adopting both Chinese and English words; two kinds of characters are in the same effectiveness and after signed one original for each party in witness thereof. Before obtaining the other party’s written agreement, any party shall not be entitled to transfer the rights and obligations of this Contract’s regulations to the third party.15.
