《民法总则》规定代理人应当在代理权限内进行代理行为。代理只有在代理权权限范围进行的民事活动，才能被看做是被代理人的行为，由被代理人承担代理行为的法律后果。

代理权限又称代理权的范围，是指代理人在何种范围内为意思表示和受领意思表示，其效力及于被代理人。如前所述，代理权的发生，或基于被代理人的意思表示，或基于法律的规定，或基于人民法院或者有关机关的指定。

基于被代理人的意思表示的，代理权的范围应依其意思表示范围确定；基于法律规定的，代理权的范围应依法律规定确定；基于人民法院或者有关机关指定的，代理权的范围应依人民法院或者有关机关的制定确定。

通说还认为，代理人还有权为保存行为、利用行为和改良行为。保存行为为维持财产现状的行为。保存行为中，有属于事实行为的， 如代理人对于其管理的房屋自为修缮；也有属于民事行为的，如因修缮房屋而与他人订立合同。

代理行为仅以民事行为为限，以保存为目的的事实行为，不适用代理的规定。对于利用行为及改良行为，代理人以不变更物或者权利性质为限。

如代理人将金钱变为股票，就属性质变更；但如代理人将金钱存入银行而得利息，则属对物的利用。前者，代理人无权为之；后者，代理人有权为之。

授予方式

根据意思自治原则，代理权以何种方式授予，由当事人自行确定，民法通则第65条第1款规定：民事法律行为的委托代理，可以用书面形式，也可以用口头形式。法律规定用书面形式的，应当用书面形式。

代理权的授予方式必须足以将代理权授予行为的意思向第三人表示清楚，法律特别规定以书面方式时，授权方式必须以授权书的形式为之，例如诉讼代理。

在书面授权时，民法通则第65条第2款规定：书面委托代理的授权委托书应当载明代理人的姓名或者名称、代理事项、权限和期间，并由委托人签名或者盖章。
